These Terms and Conditions ("Agreement") govern your access to and use of our services, including but not limited to the practice management platform, patient and appointment management tools, billing systems, GP Membership Program, corporate account management, and any other features offered by MD.co.uk (collectively, the "Services"). By accessing or using our Platform, you agree to be bound by these Terms and Conditions. If you do not agree with these terms, you should not access or use our Services.

    1. Introduction

    By using the GP Membership Program or other Services on MD.co.uk , you agree to comply with these Terms and Conditions. Please read them carefully. These Terms apply to all users, including Members enrolled in the GP Membership Program and those accessing other services available through the Platform.

    2. Definitions

    • "MD.co.uk", "we", "us", or "our" refers to the practice management platform provider, MD.co.uk .
    • "You" or "Your" refers to the individual or entity using the Platform and its Services, including GP Members, administrators, employees, patients, and corporate clients.
    • "Services" refers to all tools, features, and functionalities provided by MD.co.uk, including but not limited to booking, patient management, billing, labs, corporate management systems, and the GP Membership Program.
    • "Platform" refers to the online system through which our Services are provided, including our website, mobile applications, and any associated software.

    3. Acceptance of Terms

    By using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you are using the Platform on behalf of a practice or organization, you represent and warrant that you are authorized to bind the organization to these Terms. Any use of the Platform and Services that violates these Terms may result in the suspension or termination of access to the Platform.

    4. Changes to Terms

    We reserve the right to modify, amend, or revise these Terms and Conditions at any time. Any changes will be posted on this page, and the revised terms will become effective upon posting. We encourage you to review this page periodically for any updates. If any changes materially affect your rights, we will notify you via email or another appropriate method.

    5. Membership

    • Duration: Membership to the GP Membership Program is subject to a minimum contract term of 12 months, starting from the date of enrollment.
    • Fees: Membership fees are charged at £20 per month. Additionally, each GP visit costs an additional £20.
    • Renewal: Membership will automatically renew annually unless cancelled by the Member in accordance with the cancellation terms outlined below.
    • Cancellation: Members may cancel their Membership after the initial 12-month term by providing 3 months' notice in writing. If you cancel during the initial term, cancellation will not be effective until the end of the 12-month period.

    6. Appointment Booking and Cancellation

    • Appointment Fee: A £20 fee is charged for booking an appointment. The fee is refundable only if the appointment is cancelled more than 24 hours in advance.
    • Missed Appointments: If an appointment is missed or cancelled with less than 24 hours' notice, the £20 fee is non-refundable. You are advised to reschedule if possible to avoid the cancellation fee.

    7. Payments

    • Methods of Payment: Payments for Membership and Services are due monthly in advance and can be made via direct debit or credit/debit card.
    • Non-Payment: If a payment is not received or is rejected, an administration fee will be applied. Overdue payments may attract interest at a rate consistent with the Bank of England’s base rate plus 4%.
    • Annual Review: Membership fees are subject to an annual review and may increase in line with operational costs, inflation, or business growth.

    8. Use of Services

    You agree to use the Platform and Services in compliance with all applicable laws and regulations, including the General Data Protection Regulation (GDPR), the Health Insurance Portability and Accountability Act (HIPAA), and any other relevant regulations governing healthcare practices. Specifically, you agree not to:

    • Violate any local, national, or international laws.
    • Use the Platform to infringe upon the intellectual property rights of others.
    • Transmit harmful, offensive, or illegal content, including viruses, malware, or other malicious software.
    • Engage in any activities that could disrupt or interfere with the normal operation of the Platform or Services.

    9. Corporate Account Management

    If you are using the Platform to manage corporate accounts or handle corporate billing, you agree to:

    • Ensure you have the necessary authority and consent to manage corporate accounts on behalf of your organization.
    • Keep accurate records for each corporate account, including invoices, payments, and patient details.
    • Notify us immediately of any discrepancies or issues with corporate accounts, including mismanagement of invoices or payments.

    10. Liability

    MD.co.uk does not assume responsibility for any indirect, incidental, special, or consequential damages arising from the use of the Platform or Services. Our total liability for any direct damages will be limited to the total amount paid by the Member for the specific Service that gave rise to the claim.

    Limitation of Liability: You agree that MD.co.uk will not be liable for any harm, loss, or damage arising from the use of the Platform, including loss of data or profits. This exclusion applies whether the liability arises under contract, tort (including negligence), or any other legal theory.

    11. Data Protection

    We take your privacy seriously. The collection, storage, and processing of personal data is governed by the General Data Protection Regulation (GDPR), the Data Protection Act 2018, and any other applicable laws regarding data protection and privacy.

    Data Processing: By using the Platform, you consent to the collection and processing of personal data, including patient information, in accordance with our Privacy Policy .

    Your Responsibilities: You are responsible for ensuring that your use of the Platform complies with data protection laws and regulations, and that you obtain the necessary consents to process personal or sensitive data through the Platform.

    12. Intellectual Property

    All content, including logos, trademarks, text, graphics, software, and other materials, associated with the Platform is owned by MD.co.uk or its licensors. You may not use any of this material without our prior written consent, except as necessary to access and use the Services in the ordinary course of business.

    13. Billing and Payments

    • Subscription Fees: You agree to pay all applicable fees for Services accessed via the Platform. These fees are billed monthly in advance and are non-refundable, except as required by applicable law.
    • Failed Payments: If payment is declined, we may suspend or terminate your access to the Platform until outstanding payments are settled.

    14. Termination

    We reserve the right to suspend or terminate your access to the Platform at our sole discretion for reasons including, but not limited to:

    • A breach of these Terms and Conditions.
    • Activities that threaten the security or integrity of the Platform.
    • A legal or regulatory requirement to terminate services.

    Upon termination, any outstanding fees will become immediately due.

    15. Indemnity

    You agree to indemnify, defend, and hold harmless MD.co.uk , its officers, employees, and affiliates from any and all claims, damages, liabilities, costs, and expenses, including legal fees, arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

    16. Dispute Resolution

    Any disputes arising under or in connection with these Terms will be resolved through binding arbitration in accordance with the laws of England and Wales. Arbitration will take place in the jurisdiction where MD.co.uk is headquartered.

    17. Governing Law

    These Terms and Conditions are governed by the laws of England and Wales. Any legal action or proceeding related to these Terms shall be conducted in the appropriate courts located in England and Wales.

    18. Force Majeure

    MD.co.uk shall not be liable for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of war, government actions, network failures, or any event outside the reasonable control of MD.co.uk .

    19. Miscellaneous

    • Severability: If any part of these Terms is found to be unenforceable, the remainder of the Terms will continue in full force and effect.
    • Entire Agreement: These Terms constitute the entire agreement between you and MD.co.uk regarding the use of the Platform and supersede any prior agreements.
